This agreement, entered into with Face 2 Face Technologies Inc. details laptop computer rental conditions and serves as a laptop rental contract. At the end of the contracted time he/she agrees to return the equipment to 1314 "B" Center drive #424 (Face 2 Face Technologies office). Rentals will be automatically be renewed and billed at the daily rate to the clients account if not returned, unless we hear from you and other arrangements are agreed to.

RENTAL TERMS & CONDITIONS

1. Changes on contracts: future orders are subject to change without notice. Please read the draft contract carefully before signing.
2. Equipment malfunction: Our equipment rarely fails but if the computer malfunctions, it is the Clients responsibility to contact Face 2 Face Technologies to return the computer for repairs.
3. Prudent care. Renter shall take reasonable and prudent care to maintain the Laptop and assorted components in good condition and protect it from loss, theft, or damage.
4. Equipment list. Laptop Rentals include all equipment but not limited to power supply, power cord, speakers, headset, carrying case and shipping container. The renter is responsible for the care and return of these and all other specified items, or incurs a charge for their replacement.
5. Timely Return: Rental equipment must be returned to us within the time frame setup on the contract otherwise extra charge may apply.
6. Damage/Liability/Theft: Repairs on the computer will be at the Face 2 Face Technologies expense when normal wear and tear is involved. If the Shop determines that the computer has been abused in any manner (dropping the computer, foreign objects inserted in disk drive or keyboard, etc.), the client may be liable to pay Face 2 Face Technologies Inc. for the full cost of repairs or the replacement cost, whichever is less. The renter is also responsible for the value of the computer if it is lost or stolen. We suggest that client sees if the laptop is covered on their homeowner or renters insurance policy. The retail replacement value of the computer is $2,500.00. The Rental will end with the police report (which Face 2 Face Technologies needs a copy), and you may be granted another rental entirely at the discretion of the company.
7.All charges are in United States dollars.
Charges for Damage. For a laptop, damaged equipment is charged at:
$250 for a broken screen, $200 for a missing or damaged Data Card $150 for a broken keyboard or liquid ingress,
$150 for a damaged Optical Player drive and $100 for damaged Battery, $100 for missing or damaged power supply
$40 for missing or damaged Cables or Disks or the cable or speaker cases, $40 for missing or damaged headset
$25 for missing or damaged speakers. Missing internal components such as Hard Disk, missing Memory, and or missing Battery is a cost of $2,500. If the damage is not listed it will be billed at a reasonable replacement cost. Please enquire if you have any questions.
8. Reporting Theft. Renter agrees to report all incidents of theft or deliberate damage to the Laptop within twenty-four 24 hours to Police and/or local law enforcement. Renter agrees to cooperate fully with Police and/or appropriate local law enforcement agency in completing all necessary reports.
9. Viruses: Face 2 Face Technologies assumes no responsibility for 'viruses' or the integrity of data of any hard disk, diskette, or other piece of hardware or software. Laptop Rental comes equipped with a 'Wireless Modem', the renter understands that Face 2 Face Technologies issues no guarantee of coverage. Coverage is provided by Verizon or AT&T Wireless. Outside of their coverage area, roaming charges of $0.10/kilobyte may apply.
10. Shipment: The Laptop Rental rate includes no rental charges for days spent in shipping. If renter ships or returns Laptop Rental by any other means without the prior written consent, renter shall be responsible for any charges incurred.
11. Loss of return Label: In the event the included pre-paid return label is lost, the renter may request a replacement to be sent. However if that causes a delay in the return of equipment due, renter will be charged for the extra days. To avoid extra charges, renter should return equipment timely at their own expense.
12. Termination. It is the obligation of the renter to notify Face 2 Face Technologies when the renter wishes to terminate the rental. Renter agrees to pay the per diem rental rate for each day past the due date. No exception will be made for any reason, other than Face 2 Face Technologies may adjust the calculation of days when earlier delivery and later pickup are for the sole convenience of Face 2 Face Technologies. Any part of the day shall be charged at the full day rate.
13. Cancellation: In the event of cancellation by the renter after having signed either on-line or any other way, a rental agreement; before order has shipped renter will be responsible for a cancellation fee of $25.00. If the order has already shipped and is refused by renter the shipping fees will be added as well as the per diem rental rate for each day until returned.
14. Payment. Payment for the initial period is due prior to the rental. Payment for additional time is due prior to the beginning of the renewal period. Payment may be in the form of Master Card, Visa, American Express. A valid credit card number is required to be on file as a form of security.
15. Hardware configuration. Face 2 Face Technologies will meet the hardware configuration as specified. It is the responsibility of the renter to determine the hardware configuration needs (does the cell card work in their area or the wireless connection).
16. Substitution. Face 2 Face Technologies shall have the right, without notice, to substitute any rental equipment to that of equal or higher technical specifications at no additional charge to the renter.
17. Notice of defect. Unless renter gives notice within 24 hours of receipt of equipment, it is presumed the equipment was delivered in good working condition and the renter accepts equipment for use.

19. Security deposit. Face 2 Face Technologies requires a valid credit card number to be kept on file as a form of deposit. Face 2 Face Technologies has the right to request a security deposit of up to the replacement price of equipment rented. No charges will be applied to a credit card without making an effort to notify the renter.
20. Loss. Renter shall bear the entire risk of loss or theft, damage or destruction for any cause whatsoever. In the event of loss or damage, renter will pay the replacement price of the equipment to Face 2 Face Technologies. Renter shall be responsible to pay any revenue lost by Face 2 Face Technologies from rentals until he has paid for the lost equipment in full.
21. Default. If renter shall default in any of the terms and conditions herein, or fail to make any one of the payments provided for herein, or if any execution or other writ or process shall be issued in any action or proceeding against renter, whereby the said equipment may be seized or taken or if a proceeding in bankruptcy, receivership or insolvency shall be instituted by or against renter or his property, or if renter shall enter into any arrangement or composition with his creditors, or in the event that any judgment is obtained against the renter, then and in any such event, Face 2 Face Technologies shall have the option to retake immediate possession of said equipment and, for such purpose, owner, its agents or employees, may enter upon any premises where said equipment is, and may remove the same there from with or without force, and with or without notice of intention to retake same, without being liable to any suit or action or other proceeding by renter.
22. Equipment Owner. Ownership of the equipment shall at all times remain with Face 2 Face Technologies. Renter has no title or property interest in laptop, components, or peripherals. Renter agrees to pay all reasonable attorneys' fees and all costs incurred by Face 2 Face Technologies in protecting its rights or property under this agreement, or in suing renter for breach of contract. Renter hereby waives trial by jury.
23. Equipment Return. Rental equipment must be returned in original shipping boxes and packaging or a $60.00 charge will apply. Acceptance of the return of rented equipment is not a waiver by Face 2 Face Technologies of any claims that it may have against renter, nor a waiver of claims for latent or patent damage to the equipment.
24. Reasonable usage. Renter will reimburse Face 2 Face Technologies for any damages above reasonable usage.
25. Maintenance Of Equipment. Face 2 Face Technologies will be responsible for maintenance of equipment, to keep equipment in proper working order.
26. Repair. Renter may not provide or hire repair service for any equipment.
27. Support. We offer telephone support 12 hours a day, seven days a week from 6am to 9pm PST.

28. Assignment. Renter shall NOT assign, pledge, or transfer any interest in this Agreement or in the Laptop, including all attachments and components. Renter will not lend the Laptop to another for his/her use.
29. Legal Compliance. Renter agrees to comply with State and Federal laws and regulations including, but not limited to, laws of libel, data privacy, copyright, trademark, gambling, obscenity, and child pornography; the Federal Electronic Communications Privacy Act and the Computer Fraud and Abuse Action, which prohibit "hacking" and similar activities; and State computer crime statutes.
30. Label Removal. Renter shall not remove or alter any identification labels that are attached to or displayed on the laptop and associated peripherals.
31. Indemnity. Renter is solely responsible for the consequences of any misuse of the equipment and the liability resulting from misuse. Renter shall indemnify Face 2 Face Technologies for any injuries, damages, or losses incurred due to the intentional or negligent acts of Renter. The Renter obligation of indemnification to Face 2 Face Technologies survives the term of this Agreement.
32. NOTICE: Face 2 Face Technologies may seek criminal charges for theft of property if the student fails to return the equipment.
33. Right For Collection. Nothing in this Agreement is intended to abrogate Face 2 Face Technologies right to collection for previous outstanding charges owed or collection of loss or damages as described in this Agreement.
34. Refund. Refund will be based on the date the laptop is shipped to Face 2 Face Technologies.
35. All rentals are made on a first-come, first served basis.
36. Equipment Failure. In the event of any Equipment failure, Renter shall contact Face 2 Face Technologies immediately and request instructions before returning Equipment for servicing. Under no circumstances will Face 2 Face Technologies provide reimbursement for repairs, parts, or supplies provided by others unless specifically authorized in writing.
37. Inspecting Equipment. The Customer acknowledges that they are personally responsible for inspecting the rental items prior to their use on the event date and find them suitable for use before the event date.
38. Possible Extras Charges. Your signature on the Rental Agreement is also allows Face 2 Face Technologies to charge your card with any possible extras at the end of the rental, such as late return of the merchandise.
39. Cancelled Card Transaction. We charge 50 for a cancelled debit/credit card transaction i.e. you cancel the rental after the debit/credit transaction has been made but before we attempt delivery.
40. Primary Renter. The lead name on the rental (the primary renter) must be the person whose credit card is used to pay the charges. If the credit card of another person is used, that person will become the primary renter and the original name on the reservation will become an additional user.
41. We charge $35 for any failed, (nobody there to receive / provide equipment after a 20 minute wait), delivery / collection.

42. Face 2 Face Technologies will supply return labels for the Customer to return all the items stated on the Rental Order Form. The Customer agrees to be charged an additional late return fee for each day the items are not returned or shipped the day after the last Rental date.

EMERGENCY SERVICE & SUPPORT

As your contract states, unless specified otherwise, we provide you with delivery of working equipment. We do not provide training, software support, or operational instruction for the cost of the rental. If you are experiencing difficulties, you may phone our office at (800) 734-3590. We will not service or replace equipment taken out of the Continental U.S. If the difficulties are due to faulty equipment, there will be no charge for support. If the difficulties are due to operator, you will receive 15 minutes of free telephone support.

DISCLAIMER

Any losses incurred for any reason attributable to the rental of the said equipment are wholly non-chargeable to Face 2 Face Technologies Inc. This includes but is not limited to loss of revenue (tangible or potential), loss of time, or rental charges paid or due. Face 2 Face Technologies Inc. will not be responsible for late deliveries or pickups due to traffic conditions, weather or other acts of God.

I have read and agree to the rental agreement on the terms and conditions, and agree to have all unpaid charges put on my Visa, Master Card, American Express or Discover Card.

- Face 2 Face Technologies and all board members and associates are not responsible for injuries, damages, penalties, or losses, including legal costs and expenses incurred by the renter or other person due to transporting the Laptop. Face 2 Face Technologies are not responsible for unauthorized use of resources, and security of data transmitted on their information technology resources cannot be guaranteed.

We offer telephone support 12 hours a day, seven days a week 9am - 12am EST.

The Customer will be responsible to pay for any incidents including but not limited to damaged, lost, altered, or stolen items. Except for reasonable rental usage, all items must be returned in their normal condition.

The Customer understands that a breach of contract will result in collections of fees by Face 2 Face Technologies. The Customer will therefore be responsible for all fees associated with the collections process, including attorney fees and litigations fees, in the event that the contract has been breached.
